Renewing a company's papers in Qatar: the CR, the licence and the establishment card

A company's documents count backwards from their expiry date. A residence permit counts forwards from it — which is why the same reminder cannot serve both.

A Qatari company carries three documents that expire: the commercial registration, the trade or municipality licence, and the establishment card — «قيد المنشأة», the one most offices call the computer card. They are not three separate renewals. They are one chain, and the order of it decides what an office should be watching.

The rule that catches people is the direction. A residence permit is renewed after it expires — the law gives the sponsor ninety days. A commercial registration and a licence are renewed before they expire, and the request is due thirty days out. An office that learned its habits on residence permits is late on the company's papers every single year, and the lateness has a price list.

The commercial registration

Article 5 of Law No. 25 of 2005 leaves the length of the registration to the Council of Ministers, and Cabinet Decision No. 31 of 2019 sets it: not less than one year and not more than five, renewable for further periods of the same kind. Four things follow from the text rather than from custom:

  • The renewal request is submitted by the person concerned during the thirty days preceding the date the registration period ends.
  • A branch of a foreign company, or a commercial representation office, is registered only for as long as it is licensed to operate in the country.
  • In every case the registration or its renewal sits within the company's own term — a company constituted for a fixed period cannot hold a registration that outlives it.
  • The competent department may erase the registration where no renewal request has been made ninety days after the holder was warned by registered letter, or by any means that shows they knew.

There is a way back, and it is not an amnesty. The department may, on grounds of the public interest and at the holder's request, renew a registration after those periods have run — on collection of the prescribed fee for the whole period since the registration or the renewal lapsed. Being late is not forgiven; it is invoiced.

The trade and municipality licence

Article 8 of Law No. 5 of 2015 works the same way and says so more bluntly: the renewal application must be submitted at least thirty days before the licence expires. Cabinet Decision No. 30 of 2019 sets the term at not less than a year and not more than five for commercial, industrial and similar public premises, and two years for street vendors.

What happens afterwards is written down to the riyal. Where the renewal is late, a delay fine of QR 500 is collected for each month of delay, to a maximum of three months — otherwise the licence is deemed cancelled. The department may extend those three months for reasons the holder gives, and in that case the fine applies across the whole period the licence went unrenewed.

Operating outside a licence is a different order of problem from renewing one late:

  • Opening or managing premises subject to the law without a licence — imprisonment of up to a year and a fine of up to QR 50,000, or either (Article 26).
  • Carrying on an additional activity, altering the licensed premises, or moving them without the department's approval — a fine of up to QR 10,000 (Articles 3 and 27).
  • In either case the court may also order the premises closed for up to a year, or the licence cancelled, and the judgment published in two daily newspapers at the convicted party's expense (Article 28).

The establishment card follows the other two

On 30 June 2024 the Ministry of Commerce and Industry, with the Ministry of Interior, launched automatic renewal of the establishment registration through the Single Window: renewing the company's licence and commercial registration now produces the updated establishment registration, which the user then collects from the Metrash application.

The Ministry of Commerce and Industry also allows a registration and a licence to be renewed for a year, or for any term up to five, through the Single Window or the Ministry's website — provided the validity of the commercial licence is identical to that of the commercial registration. Read those two announcements together and the practical shape of the thing appears: the registration and the licence are meant to be one date, and the establishment card is downstream of it rather than beside it.

The habit that goes wrong

The last row is the whole problem. Every date on a company's own papers is counted backwards from the expiry, and the one date most offices watch daily — the residence permit — is counted forwards from it. The reminder that works for one is exactly a month too late for the other.

  1. 1. Make the renewal of the commercial register, the license and the establishment card in one transaction together if possible, because the new system in the single window often allows it.
  2. Set the reminder at sixty days, not thirty. The application is due thirty days out, and a document that has to be gathered from three places cannot be gathered on the day it is due.
  3. Track the events as well as the dates. A change of directors, of address or of capital is thirty days from the event under Article 9, and no expiry date will ever warn you about it.
  4. Do not chase the establishment card as a third renewal. It follows the registration and the licence, and an office pursuing it separately is pursuing a symptom.

Common questions

When must a commercial registration be renewed in Qatar?
The renewal request is submitted during the thirty days preceding the end of the registration period, under Article 5 of Law No. 25 of 2005. It is a deadline before the expiry, not a grace period after it.
What is the fine for renewing a trade licence late?
QR 500 for each month of delay, to a maximum of three months, after which the licence is deemed cancelled — Article 8 of Law No. 5 of 2015. The department may extend the three months for reasons the holder gives, and the fine then applies across the whole unrenewed period.
How long are a commercial registration and a licence issued for?
Between one and five years for both, under Cabinet Decisions No. 31 and No. 30 of 2019. A street vendor's licence runs to two years, and a foreign company's branch is registered only for as long as it is licensed to operate in Qatar.
Does the establishment card have to be renewed separately?
No. Since 30 June 2024 renewing the company's licence and commercial registration produces the updated establishment registration through the Single Window, and it is collected from the Metrash application.
What happens if a commercial registration is never renewed?
The competent department may erase the registration ninety days after warning the holder by registered letter or any means showing knowledge. Before that point it may still renew it on public interest grounds, on collection of the fee for the whole period since it lapsed.
